The exact version and timestamp you accept is recorded at checkout, and any future material update will be presented for re-acceptance rather than applied retroactively. It still needs the business's legal entity name, mailing address, and governing-law state filled in below, and a licensed attorney should review it before it's relied on as a binding compliance document.
1. Agreement to Terms
By creating an account, subscribing to, or otherwise using the procurement-intelligence digest service operated by [Your Business Name] (“Bidwhisper,” “we,” “us,” or “our”), you (“Customer,” “you”) agree to be bound by these Terms of Service (“Terms”). If you don’t agree, don’t use the Service. These Terms are presented to you, and your acceptance is recorded with the specific version and timestamp, at the time you complete checkout through our payment processor, Stripe.
2. Description of the Service
Bidwhisper monitors publicly accessible sources — government agency websites, procurement portals, public budget and planning documents, and public company websites — to identify potential public-sector purchasing opportunities and deliver them to subscribers as an email digest (Daily or Weekly, per your selected plan), matched against the product/service categories associated with your account.
3. Data Source Disclaimer — Please Read Carefully
Everything Bidwhisper surfaces is derived from publicly accessible sources, and none of it is independently verified, audited, or guaranteed by us.
- No warranty of accuracy, completeness, or timeliness. Government and public agency sources change, are delayed, contain errors, or are removed without notice. We do not guarantee that any opportunity, date, dollar amount, category, or contact detail we surface is accurate, current, or complete.
- Not a substitute for your own diligence. The Service is an early-warning aid, not a substitute for verifying any opportunity directly with the issuing agency before you rely on it for a bid, proposal, staffing, or business decision.
- No outcome guarantee. We do not guarantee that using the Service will result in you winning any bid, being selected as a vendor, or generating any particular business outcome.
- Not professional advice. Nothing in the Service constitutes legal, financial, procurement, or other professional advice.
4. No Liability
To the maximum extent permitted by law: the Service and all data, alerts, and content we provide are furnished “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. [Your Business Name] and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, business opportunity, or data, arising out of or related to your use of, or inability to use, the Service — including but not limited to a missed, inaccurate, delayed, or incomplete opportunity notice — even if we’ve been advised of the possibility of such damages. 5. Subscriptions, Billing, and Cancellation
- Subscriptions are billed monthly in advance through our payment processor, Stripe, at the rate shown for your selected plan at checkout.
- You can cancel at any time, self-serve, through Stripe’s Customer Portal (linked from your digest emails and this site) or by emailing us. Cancellation stops future billing and future digest emails; we do not provide refunds for partial billing periods already paid.
- If a payment fails, your account may be marked Past Due and, if not resolved, Suspended — Suspended accounts stop receiving digest emails until payment is resolved.
- Plans, pricing, and available categories/verticals may change; we’ll give reasonable notice of changes affecting your existing subscription.
6. Acceptable Use
You may use the Service only for your own or your employer’s business purposes. You agree not to: (a) resell, redistribute, or systematically republish the compiled/matched opportunity data we deliver to you as a competing product; (b) attempt to scrape, reverse-engineer, or bulk-extract data from the Service beyond your own normal use of your digest emails; or (c) use the Service in violation of any applicable law.
7. Your Account
You’re responsible for the accuracy of the product/service category information used to match opportunities to you, and for keeping your contact/billing email current. You must be authorized to bind the business you’re subscribing on behalf of.
8. Outreach & Opt-Outs
If you received an email from us before becoming a subscriber, see our Privacy Policy for how we handle outreach opt-outs and unsubscribe requests — the same commitments apply regardless of subscription status.
9. Intellectual Property
The Service, including its matching methodology, categorization taxonomy, and the compiled/formatted presentation of opportunity data (as distinct from the underlying public facts themselves, which remain public), is owned by [Your Business Name]. These Terms don’t grant you any rights to our trademarks, branding, or underlying technology beyond what’s needed to use the Service as intended.
10. Termination
We may suspend or terminate your access to the Service for non-payment, violation of these Terms, or abuse of the Service, with notice where practicable. You may terminate by canceling your subscription at any time.
11. Changes to These Terms
We may update these Terms from time to time. Each version is dated and versioned; the version you agreed to at checkout is the version that governs your subscription unless and until you’re presented with, and accept, a materially updated version. Materially updated versions will be presented for re-acceptance rather than applied retroactively without notice. The current version and effective date are always shown at the top of this page.
